Effective date: 21 October 2026

1. Introduction

This Vendor Agreement establishes the terms under which individuals and businesses may register as vendors and sell products or services through Cowa Market Hub (“Cowa,” “we,” “our” or “us”).

Cowa operates an online marketplace that enables approved vendors to offer digital products, eBooks, courses, event tickets, coaching and consultation services, clothing, printed books, electronics, home appliances and other approved products or services.

By registering as a vendor, submitting products for sale or accepting orders through Cowa, you agree to comply with this Agreement, Cowa’s Terms and Conditions, Payment, Commission and Vendor Payout Policy, Refund and Cancellation Policy, Shipping and Delivery Policy, Privacy Policy and any additional rules communicated to vendors.

2. Vendor Registration and Account Information

Vendors must provide accurate, complete and up-to-date registration information.

Cowa may request additional information reasonably necessary to verify a vendor’s identity, business details, contact information, payout details or authority to sell particular products.

Vendors must:

  • Keep their account information accurate and current.
  • Maintain the confidentiality of their login credentials.
  • Notify Cowa promptly of suspected unauthorised account access.
  • Use their accounts only for lawful marketplace activities.
  • Provide accurate information when requested for transaction, compliance or customer-service purposes.

Vendor approval is subject to Cowa’s marketplace requirements. Registration does not guarantee that every product submitted will be approved or that a particular level of sales will be achieved.

3. Products and Services Permitted

Vendors may list products and services within Cowa’s approved categories, subject to the applicable listing requirements.

These categories may include:

  • Digital products and downloadable resources.
  • eBooks and printed books.
  • Online courses, training and educational materials.
  • Event tickets and training events.
  • Coaching and consultation services.
  • Clothing and fashion products.
  • Electronics and home appliances.
  • Other products or services approved by Cowa.

Vendors must provide accurate descriptions, clear pricing, relevant images, applicable delivery or access information and any material limitations or conditions before a customer purchases.

Cowa may reject, remove or restrict a listing that does not meet its requirements or applicable law.

4. Prohibited Products and Conduct

Vendors must not list, advertise, supply or promote products or services that are unlawful, counterfeit, stolen, fraudulent, unsafe or otherwise prohibited by applicable law or Cowa’s marketplace rules.

Vendors must not:

  • Infringe another person’s copyright, trademark, patent or other intellectual property rights.
  • Publish deceptive descriptions, fake reviews or misleading claims.
  • Misrepresent product quality, availability, qualifications or expected results.
  • Use the platform to facilitate fraud, scams or unauthorised transactions.
  • Upload malware or files intended to damage systems or compromise customer security.
  • Sell products or services they are not authorised to supply.
  • Manipulate orders, reviews, prices or transactions to deceive customers or Cowa.
  • Collect or misuse customer information outside legitimate transaction purposes.
  • Circumvent Cowa’s commission arrangements through transactions that should reasonably be processed under the marketplace terms.

Cowa may remove prohibited listings and take appropriate action against accounts that breach these requirements.

5. Commission and Vendor Earnings

Cowa’s intended standard marketplace commission is 10% of the applicable commissionable sale amount, unless another rate is agreed with the vendor in writing.

Under the standard arrangement, the vendor’s intended share is 90% of the applicable commissionable sale amount, subject to the terms of this Agreement and the Payment, Commission and Vendor Payout Policy.

For illustration, if a product sells for KSh 1,000 and the entire amount is commissionable:

  • Customer’s product price: KSh 1,000.
  • Cowa commission at 10%: KSh 100.
  • Vendor share at 90%: KSh 900.

This example is illustrative. The final calculation may be affected by disclosed payment-processing charges, refunds, discounts, taxes, shipping charges or other applicable adjustments, depending on the agreed arrangement and marketplace configuration.

Cowa will communicate the applicable commission rate and material deductions to vendors. Different rates may apply where agreed in writing.

6. Vendor Payouts

Vendors are entitled to receive their eligible earnings after the applicable commission and authorised adjustments have been accounted for, subject to this Agreement and the Payment, Commission and Vendor Payout Policy.

Payouts may be processed manually or through an approved payout arrangement, depending on the payment systems available to Cowa.

Vendors acknowledge that:

  • A customer payment confirmation does not necessarily mean that the vendor’s share has already been transferred.
  • Payouts may depend on payment-provider settlement and transaction verification.
  • Accurate payout details must be provided and maintained.
  • Disputed, reversed, suspicious or refunded transactions may require review before payout.
  • Any minimum payout amount, processing fee or payout schedule will be communicated before it is applied.

Automatic vendor payouts are not guaranteed unless Cowa expressly confirms that an approved automatic payout arrangement is active.

Vendors should not advertise or promise payout dates that Cowa has not confirmed.

7. Orders and Fulfilment

Vendors are responsible for fulfilling orders in accordance with their product listings, the applicable order terms and applicable law.

For physical products, vendors must package goods appropriately, communicate realistic delivery estimates, arrange the stated delivery method and provide tracking information where available.

For digital products, vendors must supply the correct files, access links, course materials or other purchased content in the stated format and within the communicated fulfilment period.

For event tickets, coaching, consultations and training services, vendors must provide accurate booking information and honour the agreed service arrangements.

Vendors must promptly communicate material delays, unavailable products or other issues that could affect an order.

8. Customer Service and Complaints

Vendors must treat customers professionally and respond reasonably to enquiries about products, payments, delivery, digital access, bookings and order problems.

Vendors must cooperate with Cowa when investigating complaints, suspected fraud, missing orders, defective products or payment disputes.

Cowa may request order records, delivery evidence, product information or other reasonable documentation to resolve a dispute.

Vendors must not threaten, harass, discriminate against or deliberately mislead customers.

9. Refunds, Cancellations and Returns

Vendors must comply with Cowa’s Refund and Cancellation Policy and any applicable product-specific conditions that were properly disclosed before purchase.

Where a product is defective, incorrectly supplied, materially misrepresented or not delivered as agreed, vendors must cooperate in providing an appropriate remedy.

Depending on the circumstances, the remedy may include repair, replacement, restored digital access, delivery of missing items, cancellation, refund or another remedy required by law.

A vendor must not create or apply a refund rule that unlawfully removes a customer’s statutory rights.

Where a refund or payment reversal affects a vendor’s earnings, Cowa may adjust the related commission and payout records in accordance with the applicable policies and law.

10. Pricing, Discounts and Promotions

Vendors are responsible for setting accurate prices and ensuring that product prices, discounts and promotional claims are not misleading.

Any applicable delivery charges, service conditions or additional costs must be disclosed as required before purchase.

Vendors may participate in Cowa promotions subject to the terms communicated for each promotion. A vendor must not claim a discount or special offer that is unavailable or materially misrepresented.

Cowa may correct or remove inaccurate listings and promotions.

11. Intellectual Property and Digital Content

Vendors retain ownership of intellectual property they lawfully own, subject to the rights granted under this Agreement.

By uploading content or listing a product on Cowa, a vendor grants Cowa a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce and use the submitted listing content, product images, descriptions, logos and promotional materials to the extent reasonably necessary to operate, advertise and improve the marketplace and promote the vendor’s listings.

This licence continues only for as long as reasonably necessary for those purposes and for legitimate recordkeeping, legal or dispute-resolution needs after a listing is removed.

Vendors confirm that they own or have permission to use the content they upload and that the content does not unlawfully infringe another person’s rights.

Vendors must promptly notify Cowa of credible intellectual property complaints and cooperate in resolving them. Cowa may remove disputed material where appropriate.

12. Customer Information and Privacy

Vendors may access customer information only to the extent made available through Cowa and only for legitimate purposes related to fulfilling orders, providing customer support or meeting applicable legal obligations.

Vendors must:

  • Use customer information lawfully and securely.
  • Keep personal information confidential.
  • Avoid collecting unnecessary customer data.
  • Never request customer payment PINs or account passwords.
  • Not sell, misuse or disclose customer information without a lawful basis.
  • Take reasonable steps to prevent unauthorised access or disclosure.
  • Notify Cowa promptly if customer information may have been compromised.

Vendors must comply with applicable data-protection requirements, including relevant obligations under Kenya’s Data Protection Act, 2019, where applicable.

13. Taxes and Business Obligations

Vendors are responsible for complying with the laws and regulatory requirements applicable to their businesses and products, including relevant licensing, consumer-protection, product-safety, tax and recordkeeping obligations.

Vendors must provide accurate tax or business information when lawfully required.

Cowa may request reasonable documentation where necessary to meet legal obligations or verify a vendor’s eligibility to sell.

Nothing in this Agreement should be interpreted as individual tax or legal advice.

14. Payment Disputes, Reversals and Fraud

Cowa may investigate transactions that appear unauthorised, duplicated, suspicious or inconsistent with the marketplace rules.

Where reasonably necessary, Cowa may delay fulfilment, hold eligible earnings, request further information or restrict an account while a transaction is investigated, subject to applicable law.

If a payment is reversed, refunded or charged back after vendor earnings have been credited, Cowa may make an appropriate adjustment to future eligible earnings or pursue another lawful recovery method consistent with the agreed terms.

Vendors must not knowingly facilitate fraudulent transactions or submit false information about payment, delivery or refunds.

15. Account Suspension and Termination

Cowa may remove listings, restrict account functions, suspend a vendor or terminate marketplace access where there is a reasonable basis to believe that the vendor:

  • Has materially breached this Agreement or another applicable marketplace policy.
  • Has engaged in fraud, unlawful conduct or deceptive practices.
  • Has repeatedly failed to fulfil orders or address legitimate complaints.
  • Has infringed intellectual property rights.
  • Has provided materially false information.
  • Poses a significant security, legal or customer-protection risk.

Where appropriate and lawful, Cowa may notify the vendor of the issue and provide an opportunity to respond or correct it. Immediate restrictions may be necessary in cases involving serious risk, suspected fraud or legal requirements.

Termination does not automatically extinguish valid outstanding obligations. Eligible earnings, refunds, disputes and other outstanding matters will be reviewed and handled in accordance with this Agreement, applicable policies and law.

16. Marketplace Role and Limitations

Cowa provides the online marketplace infrastructure through which vendors can list and sell approved products and services.

Unless expressly stated otherwise, vendors operate independently and are responsible for their own listings, products, fulfilment and customer obligations.

Cowa does not guarantee a particular level of sales, income, customer traffic or business success.

Nothing in this section excludes any legal responsibility that Cowa cannot lawfully exclude.

17. Changes to This Agreement

Cowa may update this Agreement to reflect changes in marketplace operations, payment arrangements, technology, product categories or legal requirements.

Material changes will be communicated to affected vendors where reasonably appropriate. Continued use of the marketplace after an updated Agreement takes effect may constitute acceptance where permitted by applicable law.

Where a vendor does not agree to a material change, the vendor may stop listing products and request account closure, subject to outstanding orders, payment obligations and legal requirements.

18. Governing Law and Disputes

This Agreement is governed by the laws of Kenya.

Cowa and the vendor should first attempt to resolve disputes through good-faith communication. Where a dispute cannot be resolved informally, either party may pursue the remedies available under applicable Kenyan law before a competent forum.

Nothing in this clause prevents a party from exercising a legal right or remedy that cannot lawfully be restricted.

19. Vendor Acknowledgement

By registering as a vendor or offering products or services through Cowa Market Hub, the vendor acknowledges that they have read and understood this Agreement and agree to comply with its terms.

Vendors are encouraged to retain a copy of this Agreement and the applicable marketplace policies for their records.
